Report of the Annual Meeting of Historic Georgetown |
The meeting was called to order at 10 AM.
Historic Georgetown President, Ronald J. Neely opened the proceedings and introduced Board Members Dana Abrahamson, Tom Bennhoff, Christine Bradley, Salley Smith, Mary Clark, Pete Werlin, Bill Wilson, Pauline Marshall, Barb Page, Bill Pierson, and Bob Primus. He also introduced Staff Members Jeanne Waligroski, Ann Izard and Sandra Scaffidi. Others presented to the audience were: past HGI Board Chairman Don Weber, former HGI Executive Director Ruth Rosenfeld, Silver Plume Mayor Frank Young,; Lee Behrens of the Colorado Historical Society; County Commissioners Fabyan Watrous and Joanne Sorensen, Cindy Neely of the Silver Heritage Area, Mary Lanius of the Colonial Dames and the Hotel de Paris and Georgetown Energy Museum Executive Director Dennis Seibel.
Certification of a Quorum - As of June 18th, 1999, historic Georgetown Inc. had 391 voting members. 10% of that number, or 39, are needed in person or by written proxy, in order to conduct the usual business of the Annual meeting. With 42 members present and 43 proxies, a quorum of 85 members were present.
However, a quorum was not present in person or by proxy, in order to amend the Articles of incorporation to adopt the new Colorado Revised Nonprofit Corporation Act. Amendment of the bylaws requires a 2/3rds majority of the voting members. 2/3rds of 391 equals 259. The Board of Directors, at their next meeting, will have to determine a procedure and date for an election to amend the Articles in order to add this layer of liability protection for our volunteers, members, Board members and staff. In the meantime, Counsel advises that we are covered under the Federal Volunteer Protection Act of 1997, and the Colorado Good Samaritan Act. They further advise the adoption of the new Colorado Act in order to be protected by all available Statutes.
Annual Chairman's Report - Chairman of the Board Mary Riddle Clark opened her remarks by stating that this has been one of the busiest years ever (full text printed in newsletter).
Presentation of the Audit - Board Treasurer Christine Bradley and Certified Public Accountant Ned Biggs presented the audit for fiscal year 1998/1999. They pointed out that the cash flow was negative in May and June but the financial picture became stronger as the year progressed. One very big plus was the increase in sales and visitors at the Gateway Visitor Center. This can be attributed to regular hours, a brand new sign and the dedication and sales expertise of Ann and Bernell Izard. Mr. Biggs explained the 3 page financial statement handed out to attendees and pointed out that HGI suffered a slight loss last fiscal year and that both expenditures and income were both lower than the previous year.
Election of Officers - Board Vice-Chairman Salley Smith introduced the 1999 nominees to the Board of Directors. They were: Carol Moore, Mike Moore, Carole Lee Abbott, Barbara Boyer, Ruth Rosenfeld, Christine Bradley, Bob Pagano, Dave Bauer, Bob Primus and Pete Werlin, all of Georgetown. A MOTION to accept the slate of nominees was made by Pauline Marshall and SECONDED by Bill Pierson. The motion PASSED unanimously.
